Contribution License

By agreeing to our Terms of Use, the Contributor accepts and agrees to the terms of this Contribution License Agreement (this “Agreement”) for their present and future Submissions to DigitalStaff. 

 

1. Interpretation

1.1 Definitions
 

  1. Content” includes, but is not limited to, any data, text, documents, graphics, images, videos, computer codes, software, materials or information contained in any medium.

  2. Contributor” means the legal owner, or such legal owner’s representative or agent as the case may be, of the Content that is Submitting such Content to DigitalStaff.

  3. Project” means any of the projects owned, managed or carried out by DigitalStaff from time to time.

  4. Submit”, “Submitted or “Submitting” (as the case may be) includes, but is not limited to, the act of uploading, submitting, transmitting, disclosing, transferring, providing, and distributing Content to DigitalStaff.

  5. "Submission" means any Content or any other copyrightable material, including associated comments and documentation, that is intentionally Submitted by the Contributor to DigitalStaff for inclusion in, or documentation of, any of the products owned or managed by DigitalStaff.

 

2. Contribution License 

 

2.1. Contributor’s Submission. In order to submit Content to DigitalStaff, the Contributor must agree to the terms of this Contribution License. This Agreement governs any and all Submissions that the Contributor Submits to DigitalStaff from time to time, now or in the future.

 

2.2. Originality of Work. The Contributor hereby represents and warrants that they are the sole, rightful, legal owner of all title, interest and rights (including but not limited to intellectual property rights) to the Submission that Submitting the Submission to DigitalStaff shall not infringe upon any third party’s rights, interests or licenses. 

 

2.3. Your Employer. References to “employer” in this Agreement include the Contributor’s employer or anyone else for whom the Contributor is acting in making the Submission, e.g.

organization, university, community, contractor, vendor, or agent. If the Submission is made in the course of the Contributor’s work for an employer or their employer has intellectual property rights in the Submission by contract or applicable law, the Contributor hereby represents that they have secured permission from their employer to Submit the Submission prior doing so. In that case, the term “Contributor” in this Agreement will refer to the Contributor and the employer collectively.

 

2.4. Licenses

  1. Copyright License. The Contributor grants DigitalStaff a perpetual, worldwide, nonexclusive, royalty-free, irrevocable license in the Submission to reproduce, prepare derivative works of, publicly display, publicly perform, and distribute the Submission and such derivative works, and to sublicense any or all of the foregoing rights to third parties. The Contributor hereby acknowledges and consents to the use, disclosure, distribution and transfer of the Submission to third parties by DigitalStaff at DigitalStaff’s sole and absolute discretion.

  2. Patent License. The Contributor grants DigitalStaff, and those who receive the Submission directly or indirectly from DigitalStaff, a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license under the Contributor’s patent claims that are necessarily infringed by the Submission or the combination of the Submission with the Project to which it was Submitted to make, have made, use, offer to sell, sell and import or otherwise dispose of the Submission alone or with the Project. 

 

2.5. Representations and Warranties. The Contributor represents and warrants that:
 

  1. The Contributor is legally entitled to grant the above licenses;

  2. The Contributor is the sole, rightful and legal owner of all title, interest and rights (including but not limited to intellectual property rights) to the Submission; and

  3. Submitting the Submission to DigitalStaff shall not infringe on any third party’s rights, interests or licenses.

 

2.6 Indemnity Clause. The Contributor expressly agrees to indemnify and forever hold harmless DigitalStaff, and its directors, officers, employees, shareholders, contractors, consultants, agents and representatives, for any breach of the representations or warranties contained herein and for any infringements of third-party rights, interests or licenses as a result of Submitting a Submission.

 

  1. Notice to DigitalStaff. The Contributor agrees to notify DigitalStaff in writing of any facts or circumstances of which they later become aware that would make their representations or warranties in this Agreement inaccurate in any respect. 
     

  2. Information about Submissions. The Contributor agrees that Submissions to Projects and information about Submissions may be maintained indefinitely and disclosed publicly, including their name and other information that they submit with their Submission. If the Contributor wishes to remain anonymous for their Submission, they must provide written notice (email or mail) to DigitalStaff.

 

3. General 

3.1. Governing Law/Jurisdiction. This Agreement is governed by the laws of the Province of Ontario. The parties waive all defences of lack of personal jurisdiction and forum non-conveniens.

 

3.2. Dispute Resolution. If a legal dispute arises the parties consent to the procedure contained in Sections 11 and 12 of the Terms of Use. 

 

3.3. Entire Agreement. This Contribution License Agreement and the Terms of Use are the entire Agreement between the parties and supersede any and all prior Agreements, understandings or communications, written or oral, between the parties relating to the submissions of Content. This Agreement may be assigned by Digital Staff.
